at gravitational field is zero.
Net Force at x,F=Gmx2GM(dx)2
at x, F=0
Gmx2=GM(dx)2

(dx)x=Mm

x×(M+m)=m×d

x=mdM+m

Potential at point x, V=GmxGMdx

Put x in V, we get
V=GmmdM+mGM(dmdM+m)

V=GmdM+mGM(MdM+m)

V=Gm(M+m)dGM(M+m)d

V=Gd(m+M)2
